Terms of Service
Effective date: March 4, 2026
1. Scope
These Terms govern your access to and use of the services provided by Northpane Labs, Inc. ("Northpane", "we", "us"), a corporation organized under the laws of the State of Minnesota, USA. By creating an account, starting a trial, or using the service, you agree to these Terms on behalf of yourself and the organization you represent. If you don't agree, don't use the service.
2. Service description
Northpane offers browser-based, multi-protocol remote server access — including SSH, SFTP, VNC, Telnet, serial console, and remote desktop sessions — along with role-based access control and session recording. The service is delivered over the web. We may add, change, or retire features over time; where a change materially reduces core functionality, we'll give account owners reasonable notice.
3. Accounts and eligibility
You must be at least 18 and able to form a binding contract. You're responsible for the accuracy of the information you provide and for all activity under your account. Keep credentials confidential. Tell us promptly at hello@northpane.io if you suspect unauthorized use.
4. Acceptable use
You agree to use the service only for servers and systems you're authorized to access. You will not use Northpane to break into systems you don't own or control, to violate any law, or to interfere with the service for other customers. Abuse of this kind is grounds for immediate suspension.
5. Intellectual property
Northpane owns the platform, its software, branding, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. You own your data — your host inventory, session records, and any content you bring to the service. We claim no ownership over it.
6. Fees and payment
Trials are free for 14 days and require no card. Paid plans are billed in US dollars per the pricing agreed at signup, in advance of each billing period. Late payments may lead to suspension after written notice. Taxes, where they apply, are your responsibility unless stated otherwise.
7. Warranty disclaimer
The service is provided "as is" and "as available" to the fullest extent permitted by law. We don't warrant that it will be uninterrupted or error-free. We publish an uptime figure in good faith, but it isn't a guarantee outside a signed service-level agreement.
8. Limitation of liability
To the extent the law allows, Northpane is not liable for indirect, incidental, or consequential damages, or for lost profits or data, arising from your use of the service. Our total liability in any 12-month period is capped at the fees you paid us during that period. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.
9. Termination
You can cancel anytime from your account settings or by emailing us; access continues through the end of the paid period. We may suspend or end your access for a material breach of these Terms, with notice where practical. On termination, you can export your data for 30 days, after which we delete it per our Privacy Policy.
10. Data protection
Our handling of personal data is described in the Privacy Policy, which forms part of these Terms. For customers subject to GDPR, CCPA, or PIPEDA, we act as a processor for the data you place in the service and offer a data processing agreement on request.
11. Governing law
These Terms are governed by the laws of the State of Minnesota, USA, without regard to conflict-of-law rules. For customers in Canada, nothing here removes rights you hold under applicable consumer protection law.
12. Dispute resolution
Let's try to sort things out directly first — email hello@northpane.io and we'll do our best to resolve it. If we can't, disputes will be settled by binding arbitration seated in Hennepin County, Minnesota, or in the state or federal courts located there, at the parties' election as permitted by law.
